1) Parties & Acceptance
These Terms & Conditions (“Terms”) govern your purchase of the VIP Day and optional GHL Setup Upgrade from Jes Reid Marketing (“Company,” “we,” “us”). By completing checkout, you (“Client,” “you”) agree to these Terms.
2) Services
VIP Day (2 hours, live on Zoom): done-with-you strategy and implementation for Meta ads (account review or setup, targeting, copy, creatives, basic metrics). Includes 30 days of post-session support via Telegram/text during business hours.
GHL Setup Upgrade (+$200): done-for-you configuration in Go High Level (forms, pipeline stages, basic tags/source tracking, calendar connection, confirmations, and a short email/SMS follow-up sequence). Requires an active GHL account connected to your email/SMS providers.
Scope notes: We may provide checklists/templates. Custom coding, complex integrations, or multi-brand builds are out of scope unless agreed in writing.
3) Booking, Rescheduling & No-Shows
How it works: You’ll receive a booking link after payment to choose your 2-hour slot.
Booking window: Please schedule within 60 days of purchase.
Rescheduling: Allowed with 24 hours’ notice via your confirmation email link.
No-shows/late arrivals: If you miss the session or are 15+ minutes late without notice, the session may be shortened or forfeited with no refund.
4) Payments, Refunds & Chargebacks
Payment: Due in full at checkout via Stripe (USD). Taxes/fees (if any) are your responsibility.
Refunds: All sales are final. Because time is reserved and materials are delivered digitally, we do not offer refunds or credits.
Chargebacks: You agree not to file chargebacks. If you initiate a chargeback, you’ll be responsible for any fees and amounts we incur.
5) Support (30 Days)
Channel: Telegram/text (or agreed channel).
Hours: Mon–Fri, 9am–5pm PT. Typical response within 1 business day.
Scope: Questions and light tweaks related to the VIP Day deliverables. New projects, additional ad sets, new funnels, or unrelated tech support are out of scope.
6) Client Responsibilities
You agree to:
(a) provide accurate information; (b) grant timely access/permissions (Meta, GHL, Stripe, domains, etc.); (c) supply brand assets (logos, images, copy points); (d) maintain a stable internet connection; and (e) comply with all platform policies and applicable laws (privacy, advertising, promotions).
7) Third-Party Platforms & Compliance
We use third-party tools (e.g., Meta/Facebook, Instagram, Go High Level, Stripe, Telegram). We do not control their availability, policies, pricing, or approval processes and are not liable for outages, account restrictions, or rejections. You’re responsible for your platform accounts and any spend/billing.
8) Results Disclaimer
We do not guarantee specific results (e.g., leads, sales, ROI). Advertising performance depends on market conditions, creative, offer, budget, and platform behavior. Nothing here is business, financial, medical, or legal advice.
9) Intellectual Property
What you own: Your brand assets and any ad creatives/copy produced for your unique business during VIP Day.
What we own: Our frameworks, templates, checklists, methods, and training materials remain our IP. We grant you a non-transferable license to use them in your own business. Redistribution, resale, or public sharing is prohibited without written consent.
10) Confidentiality & Data
Each party agrees to keep the other’s non-public information confidential and use it only to deliver the Services. We handle personal data in accordance with our Privacy Policy. You are responsible for any consents required from your leads/customers.
11) Session Recording (Optional)
If both parties agree to record the session, we’ll provide access for your internal use only. You may not share or publish recordings without written consent.
12) Limitations of Liability
To the maximum extent permitted by law, our total liability for any claim arising out of these Services is limited to the amount you paid for the relevant Service. We are not liable for indirect, consequential, special, or punitive damages.
13) Indemnification
You agree to indemnify and hold us harmless from claims, damages, liabilities, costs, and expenses arising from your use of the Services, your ads, offers, or non-compliance with laws/platform policies.
14) Non-Transferability
Your purchase is for one business/brand and is not transferable or assignable without our written consent.
15) Force Majeure
We are not responsible for delays/failures due to events beyond our reasonable control (e.g., outages, strikes, natural events).
16) Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of California (without regard to conflicts rules). Disputes will be resolved by binding arbitration in San Diego County, CA, except claims eligible for small-claims court. Each party bears its own fees/costs. Injunctive relief for IP/confidentiality breaches is permitted.
17) Changes to Terms
We may update these Terms from time to time. The version in effect at purchase applies to that transaction; ongoing support will follow the then-current Terms.
